End-User License Agreement (EULA)

1. AGREEMENT TO TERMS

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Post Invoice ("Company," "we," "us," or "our") for the Post Invoice software application, including any associated media, printed materials, and electronic documentation (the "Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

2. SOFTWARE LICENSE

2.1 Grant of License

Subject to the terms of this EULA, Company grants you a limited, non-exclusive, non-transferable license to use the Software for your internal business purposes in accordance with the Software's documentation and your chosen subscription plan.

2.2 License Restrictions

You may not:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, disassemble, or decompile the Software
• Distribute, sublicense, lease, rent, or lend the Software
• Use the Software for any unlawful purpose or in violation of applicable laws
• Remove or alter any proprietary notices or labels on the Software
• Use the Software to process more invoices than permitted by your subscription plan
• Share your account credentials with unauthorized users

3. SUBSCRIPTION TERMS

3.1 Subscription Plans

The Software is provided under various subscription plans (Starter, Professional, Business, Enterprise). Each plan has specific features and usage limitations as described on our pricing page.

3.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as specifically provided in this EULA.

3.3 Usage Limits

Your use of the Software is subject to the usage limits specified in your subscription plan, including but not limited to monthly invoice processing limits and page limits.

4. DATA AND PRIVACY

4.1 Your Data

You retain ownership of all data you upload to or process through the Software ("Your Data"). We may access Your Data solely to provide the Software services and as described in our Privacy Policy.

4.2 Data Security

We implement appropriate technical and organizational measures to protect Your Data against unauthorized access, alteration, disclosure, or destruction.

4.3 Data Backup and Export

You are responsible for maintaining backups of Your Data. Upon termination of your subscription, you may export Your Data for a period of 30 days, after which it may be deleted.

5. QUICKBOOKS INTEGRATION

The Software integrates with QuickBooks through official APIs. You must have a valid QuickBooks license and account to use this functionality. We are not responsible for changes to QuickBooks APIs or any issues arising from your QuickBooks account.

6. INTELLECTUAL PROPERTY

The Software and all intellectual property rights therein are and shall remain the exclusive property of Company and its licensors. This EULA does not grant you any rights to Company's trademarks or service marks.

7. WARRANTIES AND DISCLAIMERS

7.1 Limited Warranty

We warrant that the Software will perform substantially in accordance with its documentation for a period of 30 days from the date of your subscription activation.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Company's total liability arising out of or relating to this EULA shall not exceed the amount paid by you for the Software in the twelve (12) months preceding the claim.

9. TERMINATION

9.1 Termination by You

You may terminate this EULA at any time by canceling your subscription and ceasing use of the Software.

9.2 Termination by Company

We may terminate this EULA immediately if you breach any term of this agreement or fail to pay subscription fees when due.

9.3 Effect of Termination

Upon termination, your right to use the Software ceases immediately. You must destroy all copies of the Software in your possession.

10. SUPPORT AND UPDATES

Support and software updates are provided according to your subscription plan. We may discontinue support for older versions of the Software with reasonable notice.

11. GENERAL PROVISIONS

11.1 Governing Law

This EULA shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.

11.2 Entire Agreement

This EULA constitutes the entire agreement between you and Company regarding the Software and supersedes all prior agreements and understandings.

11.3 Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.4 Amendment

We may modify this EULA at any time by posting the modified terms on our website. Your continued use of the Software after such posting constitutes acceptance of the modified terms.
