1. Acceptance of Terms

By accessing and using Post Invoice ("Service", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Post Invoice is a software-as-a-service (SaaS) platform that provides automated PDF invoice processing and integration with QuickBooks accounting software. Our service uses optical character recognition (OCR) and artificial intelligence to extract data from invoice PDFs and import them into QuickBooks.

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for:

  • Safeguarding the password and maintaining the security of your account
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

4. Subscription Plans and Payment

Post Invoice offers multiple subscription plans:

  • Starter Plan: Free tier with limited features and usage
  • Professional Plan: $19/month with expanded features and usage limits
  • Business Plan: $79/month with advanced features and higher usage limits
  • Enterprise Plan: Custom pricing for high-volume users

Payment terms:

  • Subscription fees are billed monthly in advance
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to change our pricing with 30 days' notice
  • Failure to pay may result in service suspension or termination

5. Data Processing and Privacy

By using our service, you acknowledge and agree that:

  • You grant us permission to process your invoice data for the purpose of providing our service
  • We will handle your data in accordance with our Privacy Policy
  • You are responsible for ensuring you have the right to upload and process the invoice data
  • We implement industry-standard security measures to protect your data
  • We may use aggregated, anonymized data for service improvement purposes

6. QuickBooks Integration

Our QuickBooks integration requires:

  • A valid QuickBooks Online or Desktop subscription
  • Authorization to access your QuickBooks data
  • Compliance with Intuit's terms of service and API usage policies

We are not responsible for QuickBooks service outages, API changes, or issues with your QuickBooks account that may affect our service functionality.

7. Acceptable Use Policy

You agree not to use the service to:

  • Upload malicious files, viruses, or harmful content
  • Process documents you don't have the legal right to process
  • Violate any applicable laws or regulations
  • Attempt to reverse engineer, hack, or compromise our systems
  • Use the service for any illegal or unauthorized purpose
  • Share your account credentials with unauthorized parties

8. Service Availability and Limitations

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. Our service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Technical issues or system failures
  • Third-party service dependencies (QuickBooks, cloud providers)
  • Force majeure events

Usage limits apply based on your subscription plan. Exceeding these limits may result in additional charges or service restrictions.

9. Intellectual Property

The Post Invoice service and its original content, features, and functionality are and will remain the exclusive property of Post Invoice and its licensors. The service is protected by copyright, trademark, and other laws. Our trademarks may not be used without our prior written consent.

You retain ownership of your invoice data and content uploaded to our service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Accuracy of data extraction and processing
  • Compatibility with all versions of QuickBooks
  • Uninterrupted or error-free operation
  • Security of data transmission

While we use advanced technology to ensure accuracy, you are responsible for reviewing and verifying all processed data before importing to QuickBooks.

11. Limitation of Liability

IN NO EVENT SHALL POST INVOICE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, data, or business opportunities
  • Costs of procurement of substitute goods or services
  • Errors in financial data or accounting records
  • Business interruption or system downtime

Our total liability shall not exceed the amount paid by you for the service in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Post Invoice from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time:

  • You may cancel your subscription through your account settings
  • We may terminate your account for violation of these terms
  • We may discontinue the service with 30 days' notice

Upon termination, your access to the service will cease, and we may delete your data after a reasonable grace period.

14. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which Post Invoice operates, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the service. Continued use of the service after changes constitutes acceptance of the new terms.
